Terms of Service

1. Acceptance of Terms

By accessing our website at lonestarnarrativelabs.org, engaging our services, signing a service agreement, submitting a project inquiry, or otherwise interacting with Lonestar Narrative Labs, you ("Client," "User," or "you") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service, along with any additional policies referenced herein, including our Privacy Policy.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and references to "you" shall refer to that entity.

If you do not agree to these Terms in their entirety, you must not access or use our services.

2. About Our Services

Lonestar Narrative Labs is an AI services company specializing in the following:

• AI Workflow Automation — Design and deployment of autonomous agents.
• Data Annotation & Labeling — Human-powered data labeling for ML training datasets.
• Prompt Engineering — Design, testing, and optimization of prompts for LLMs.
• LLM Evaluation & Fine-Tuning — Benchmarking, red-teaming, RLHF data collection.
• AI Quality Assurance — Testing AI systems for accuracy, fairness, bias, safety.
• AI Support & Production Analysis — Ongoing monitoring, drift detection, incident response.
• Custom AI Integration — Embedding AI capabilities via APIs, SDKs, or bespoke engineering.

The scope, timeline, pricing, and deliverables for any specific engagement are defined in a separate Statement of Work ("SOW") or Service Agreement, which forms part of the agreement between you and Lonestar Narrative Labs.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from receiving services under any applicable laws or regulations.
• Not be located in a country subject to U.S. government embargo.

By using our services, you represent and warrant that you meet all eligibility requirements.

4. Account Registration & Responsibilities

Certain services may require you to register for an account or provide contact and billing information. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your information.
• Be solely responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized use.
• Not share your account credentials with any third party.

We reserve the right to terminate or suspend accounts that contain false or misleading information, or that are used in violation of these Terms.

5. Service Plans, Pricing & Billing

5.1 Pricing Plans

We offer the following monthly subscription tiers for ongoing service access:

• Starter Plan — ₦25,000/month: Basic AI tools, limited API usage, compliance reports, email support.
• Professional Plan — ₦50,000/month: Advanced AI models, integrations, higher API limits, 24/7 priority support.
• Enterprise Plan — ₦100,000/month: Custom AI solutions, unlimited API usage, dedicated account manager, advanced security.

Custom project pricing is quoted separately based on scope, volume, complexity, and timeline as detailed in a project-specific SOW.

5.2 Payment Terms

• Subscription fees are billed monthly in advance.
• Project-based services may require a deposit of 50% upfront.
• All invoices are due within 14 days of issuance.
• Payments must be made via the payment methods specified at the time of purchase.

5.3 Late Payments

Invoices not paid within the due date may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances.

5.4 Refund Policy

Subscription fees are non-refundable except where required by applicable law. For project-based work, refunds are evaluated on a case-by-case basis.

6. Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not use our services to:

• Violate any applicable law or regulation.
• Create, train, or deploy AI systems intended to deceive, defraud, or harm.
• Generate, annotate, or process content that is defamatory, obscene, hateful.
• Develop AI systems for surveillance without consent.
• Upload or transmit data containing malicious code.
• Reverse engineer, decompile, or disassemble any part of our proprietary systems.
• Resell or sublicense our services without prior written consent.

7. Intellectual Property

7.1 Our Intellectual Property

All proprietary methodologies, frameworks, internal tools, workflows, templates, evaluation rubrics, and processes developed or used by Lonestar Narrative Labs remain our exclusive intellectual property.

7.2 Client-Owned Deliverables

Upon full payment of all applicable fees, Lonestar Narrative Labs assigns to you all right, title, and interest in the custom deliverables specified in your SOW.

7.3 License to Use Client Data

You grant us a limited, non-exclusive, non-transferable license to access, process, and use your data solely to perform the services described in your SOW.

7.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding our services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation.

8. Client Data & Confidentiality

We treat all client data with strict confidentiality. Our team members are required to sign non-disclosure agreements, and access to your data is restricted on a need-to-know basis.

• Not disclosing your proprietary data to any third party without your prior written consent.
• Implementing industry-standard security measures to protect your data.
• Deleting or returning your data upon completion of the project.
• Promptly notifying you of any confirmed data breach.

9. Deliverables, Acceptance & Warranties

9.1 Deliverable Review

Upon delivery of project outputs, you will have a review period (typically 5–10 business days) to inspect, test, and accept or reject deliverables.

9.2 Revision Rounds

Each SOW specifies the number of included revision rounds. Additional revisions beyond the included scope are billed at our standard hourly rate.

9.3 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

9.4 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN SECTION 9.3, OUR SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LONESTAR NARRATIVE LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Lonestar Narrative Labs from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or relating to:

• Your breach of these Terms or any Service Agreement.
• Your use or misuse of our services or deliverables.
• Any data or content you provide to us that infringes a third party's rights.
• Your violation of any applicable law.

12. Third-Party Services & Tools

In performing our services, we may use third-party platforms, APIs, cloud infrastructure, or AI foundation models. Your use of services that depend on third-party tools is subject to those third parties' terms and privacy policies.

We are not responsible for the availability, performance, or data practices of third-party services.

13. Termination

13.1 Termination by Client

You may terminate ongoing subscription services at any time by providing 30 days written notice.

13.2 Termination by Lonestar Narrative Labs

We may suspend or terminate your access to services immediately if you breach any provision of these Terms, fail to make required payments, or if required by law.

13.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute process, you agree to contact us to describe the dispute and attempt to resolve it informally.

14.2 Binding Arbitration

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Austin, Texas, USA.

14.3 Class Action Waiver

YOU AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS ACTION.

15. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, United States. You consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date, notify existing clients via email at least 14 days before changes take effect, and post a notice on our website.

Your continued use of our services after the effective date of changes constitutes your acceptance of the updated Terms.
